Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Aesir Innovations ("Aesir", "we", "us"). By creating an account, purchasing a subscription, or using the platform and its image, voice, video, and editing tools (collectively, the "Service"), you accept these Terms in full. If you do not agree, do not use the Service.

1. Eligibility & Accounts. You must be at least 18 years of age and able to form a binding contract. You are solely responsible for all activity under your account and for keeping your credentials secure.

2. Subscriptions & Billing. Subscriptions are billed in advance on a recurring monthly basis and renew automatically until cancelled. Additional credit top-ups may be purchased à la carte. All transactions, including subscription fees and credit top-ups, are processed securely through our third-party payment gateway (Stripe). ALL PURCHASES ARE FINAL, STRICTLY NON-REFUNDABLE, AND NON-CANCELLABLE. By initiating a transaction, you explicitly waive any right to dispute or initiate a chargeback with your financial institution regarding credit balances, usage consumption, or output quality. Unfounded chargeback initiatives will result in immediate, permanent account termination and forfeiture of all assets. All prices and fees displayed on the Service are strictly exclusive of applicable taxes, levies, value-added taxes (VAT), or duties imposed by taxing authorities (including, but not limited to, the Canadian Goods and Services Tax (GST)). You are solely responsible for the payment of all such taxes associated with your purchases, which will be calculated and added at checkout where required by law.

3. Credits. Subscription and top-up credits constitute a limited, non-exclusive, revocable, non-sublicensable license to access computing resources on our platform; they do not represent currency, property, or stored monetary value. Credits hold no cash value, are non-transferable, and are never redeemable for fiat currency. Subscription credits roll over cumulatively month-to-month subject to a strict, hard inventory accumulation ceiling equal to exactly three times (3x) your current monthly tier’s standard credit allotment (e.g., a maximum lifetime wallet capacity). Once your account's credit balance reaches this 3x accumulation ceiling, no further credits will be generated or added to your account in subsequent billing cycles until your balance drops below the threshold. Monthly subscription billing will continue to process normally and automatically regardless of whether you have hit this ceiling, and any billing processed while you are at the accumulation ceiling represents pure platform availability fees and is strictly non-refundable and non-creditable. All remaining credits are permanently forfeited upon account cancellation, tier downgrade, or termination.

4. Generated Output & AI Disclaimer. The Service relies on third-party and machine-learning models. Output is provided "as is" and may be inaccurate, incomplete, offensive, infringing, non-deterministic, or fail to generate. You explicitly acknowledge that failed, low-quality, partial, delayed, corrupted, or rejected generations may still consume platform credits due to upstream API processing charges, and that such credit consumption is strictly non-refundable and non-creditable. Processing latency, queue times, and visual/auditory output quality are variable and wholly contingent upon external third-party model infrastructures (including, without limitation, Replicate and SiliconFlow networks). Aesir Innovations maintains zero control over the intrinsic style, quality, coherence, or structural integrity of media artifacts synthesized by external model clusters.

5. Acceptable Use. You agree not to use the Service to create unlawful, infringing, defamatory, deceptive, sexually exploitative, or harmful content, to impersonate others, to violate any person's rights, or to breach any applicable law. We may suspend or terminate accounts that violate these Terms without refund.

6. Copyright Infringement Claims. If you believe that any content or material processed or hosted within the Service infringes upon your intellectual property rights, you may submit a formal takedown notice to our designated agent at support@aesirinnovations.com. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) specific identification of the copyrighted work claimed to have been infringed; (c) the exact location or URL of the infringing material within our Service; and (d) your direct contact information. We reserve the right to remove infringing content and permanently terminate the accounts of repeat infringers without refund.

7. Service Availability. The Service is provided on an "as available" basis. We do not guarantee uptime, throughput, queue times, model availability, or uninterrupted access, and we may modify, suspend, or discontinue any part of the Service at any time.

8. Disclaimer of Warranties. To the maximum extent permitted by law, the Service and all output are provided WITHOUT WARRANTY OF ANY KIND, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9. Limitation of Liability. To the maximum extent permitted by law, Aesir Innovations and its owners, officers, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, credits, content, or goodwill, arising from or related to your use of the Service, failed or unsatisfactory generations, credit depletion, downtime, or third-party model behaviour, even if advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the amount you paid us in the one (1) month preceding the event giving rise to the claim.

10. Indemnification. You agree to indemnify and hold harmless Aesir Innovations from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service or your generated content.

11. Changes & Governing Law. We may update these Terms from time to time. Material changes will be communicated via prominent platform notifications or direct email alerts, and your continued utilization of the platform constitutes binding acceptance of the updated terms. These Terms, your access to the Service, and all associated legal relations shall be governed exclusively by, and construed in accordance with, the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and Aesir Innovations hereby irrevocably submit to the exclusive personal jurisdiction and venue of the courts located within Alberta, Canada, for the adjudication of any disputes or litigation arising under or connection with these Terms.
